These Terms of Service ("Terms") govern your access to and use of Denkiya's websites, applications, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Who We Are

Denkiya ("Denkiya," "we," "us," or "our") provides tools to help households understand their energy usage, compare fossil fuel and electric options, and explore potential savings from electrification. Denkiya does not sell appliances, perform installations, or act as a contractor or financial advisor.

2. Eligibility & Accounts

You may use the Service only if you are at least 18 years old and legally able to enter into a binding contract. You are responsible for maintaining the confidentiality of any login credentials and for all activities that occur under your account.

3. Use of the Service

You agree that you will not:

Use the Service for any unlawful, harmful, or fraudulent purpose;
Attempt to gain unauthorized access to the Service or related systems;
Reverse engineer, decompile, or otherwise attempt to derive the source code of the Service;
Use automated tools (such as bots or scrapers) in a way that interferes with or burdens the Service.

4. Informational Estimates & No Professional Advice

Denkiya provides cost and savings estimates based on public data, industry-standard assumptions, and any information you choose to provide. As described in our methodology documentation, these are best-effort estimates intended for planning and educational purposes only. Actual results may differ based on your specific home, equipment, usage, utility rates, incentives, and other factors.

The Service does not constitute financial, tax, legal, accounting, engineering, or contracting advice. You are solely responsible for any decisions you make based on the information provided and should consult qualified professionals before making purchasing, installation, or financing decisions.

5. User Content

You may provide information about your home, vehicles, utility bills, and usage ("User Content"). You retain any rights you have in your User Content, and you grant Denkiya a non-exclusive, worldwide, royalty-free license to use, store, process, and analyze User Content for the purpose of operating, improving, and providing the Service. We may aggregate and anonymize data for analytics, research, and product improvement.

6. Privacy

7. Third-Party Links & Services

The Service may reference or link to third-party websites, tools, service providers, contractors, installers, or products (for example, utilities, incentive programs, contractors, installers, or specific appliances or equipment). Denkiya may recommend specific contractors, installers, or products based on your profile, needs, or circumstances. Denkiya does not control and is not responsible for third-party services, products, or providers, and inclusion of a link, reference, or recommendation does not constitute an endorsement, guarantee, or warranty. You are solely responsible for evaluating and selecting any third-party services, products, or providers, and for any transactions or relationships you enter into with them.

8. Affiliate Relationships & Compensation

Denkiya may participate in affiliate marketing programs with certain third-party service providers, contractors, installers, or product manufacturers. This means that Denkiya may receive compensation (such as commissions or referral fees) when users click on certain links or complete transactions with third-party providers through the Service. Not all recommendations or links are part of affiliate relationships, and Denkiya may recommend providers or products regardless of whether an affiliate relationship exists.

Denkiya considers homeowners its primary customer and is committed to providing high-quality, helpful recommendations in all cases, regardless of whether Denkiya receives compensation. Our recommendations are based on your profile, needs, and circumstances, and affiliate status does not influence the quality or appropriateness of our recommendations. You are under no obligation to use any recommended third-party services or products, and you may always seek alternatives or make your own decisions.

TO THE FULLEST EXTENT PERMITTED BY LAW, DENKIYA DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free from harmful components, or that any estimates or results will be accurate, complete, or suitable for your particular situation.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, DENKIYA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

The Service is currently provided free of charge as a limited access beta. You acknowledge that the Service is experimental and may contain errors, bugs, or other issues. You use the Service at your own discretion and risk. Denkiya accepts no liability for any damages, losses, or consequences arising from your use of the Service, including but not limited to decisions made based on information, estimates, or recommendations provided through the Service.

11. Changes to the Service

We may update, modify, or discontinue all or part of the Service at any time, including adding or removing features, with or without notice. We will make reasonable efforts to avoid changes that materially reduce the value of the Service to you, but we cannot guarantee that any particular feature will remain available.

If changes are material, we may provide additional notice (such as by email or in-app notification). Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes.

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in California, and you consent to the personal jurisdiction of such courts.
