Denkiya API Terms of Service

Welcome to the Denkiya API. Subject to the following terms and conditions, Denkiya Inc. (“Denkiya,” “we,” or “us”) provides the Denkiya public application programming interface and related developer documentation and tools (collectively, the “API” or the “Service”) so that you (the “Client” or “you”) may request modeled residential energy-cost and electrification-savings results (the “Results”) and related energy-rate information for use in your applications, websites, and services (each a “Client Application”) for your customers and end users (each an “End User”).

These Denkiya API Terms of Service (these “API Terms”) apply specifically to use of the API. Your use of Denkiya’s consumer websites and applications (including denkiya.co and denkiya.app) remains subject to our general Terms of Service and Privacy Policy. If there is a conflict between these API Terms and the general Terms of Service with respect to the API, these API Terms control for that subject matter.

1. General Rules

1.1 Whether you use a free Community plan, a paid plan (including Standard, Pro, or Custom), a trial, or any other form of access, these API Terms govern your use of the Denkiya API and the Results. Please read them carefully. By requesting an API key, accessing the API, or using the Results, you agree to these API Terms and to the applicable parts of our Privacy Policy.

1.2 We may change, add, or remove portions of these API Terms at any time. Changes become effective thirty (30) days after posting on denkiya.co (or a successor URL we designate), or upon notice to you by email or through the Service, whichever is earlier. It is your responsibility to review these API Terms before continued use. By continuing to use the API after the effective date of changes, you agree to those changes. If you do not agree, your sole remedy is to stop using the API and cancel any paid subscription before the effective date.

1.3 We may change, suspend, or discontinue any aspect of the API at any time, including the availability of any feature, endpoint, dataset, or documentation. We may also impose new limits on features or restrict your access to parts or all of the Service without notice or liability, including to protect security, stability, or other customers.

2. Grant of Limited License

The API, documentation, and Denkiya’s underlying models, methods, and software are proprietary to Denkiya and its affiliates or licensors and are protected by U.S. and international intellectual property laws. You have no rights to the Service or the Results except as expressly granted in these API Terms.

Subject to your compliance with these API Terms (including plan limits, payment obligations where applicable, and the restrictions below), and in consideration of your promises herein and payment of related fees and taxes, Denkiya grants you a limited, revocable, non-exclusive, non-assignable, and non-transferable license to:

  • authenticate to and call the Denkiya API using credentials we issue to you;
  • submit requests from your systems and Client Applications (preferably from your servers); and
  • receive and process Results for display or use within your Client Application for your End Users,

in each case solely as permitted by your plan and these API Terms.

If your plan permits commercial use and you comply with the End User requirements below, the limited license includes providing Results to those End Users through your Client Application.

The limited license excludes any sublicensing of the API itself, any right to offer the API as a stand-alone competing energy API or data feed, and any rights not expressly granted. Denkiya and its affiliates and licensors reserve all rights not expressly granted.

2.1 Plan-specific use

Plans and quotas are described on denkiya.co/api and may be updated from time to time. Without limiting those descriptions:

  • Community — for evaluation, education, and non-commercial prototypes only. Commercial use is not permitted. A visible “Powered by Denkiya” attribution is required (see Section 6.5).
  • Standard / Pro / Custom — commercial use of Results in your Client Application is permitted as described for your plan. Attribution is welcome but not required unless your order form or Custom agreement says otherwise.

Metered usage (for example successful estimate and calculate calls) counts toward monthly allowances as described in our documentation. Features that we designate as unmetered for monthly quota (for example the rates ticker) may still be subject to rate limits and fair-use controls.

3. Payment, Requests & Fees

3.1 Payment

Some Services require payment. When billing is enabled for your account, we may charge your payment method on an ongoing basis, in advance of providing Services, for subscription fees, applicable taxes, and other charges you incur in connection with the API.

You shall pay all fees and charges incurred through your account at the rates in effect for the billing period in which they are incurred. You shall pay all applicable taxes relating to use of the Service. Other restrictions and taxes may apply.

We are not responsible for bank fees, interest charges, finance charges, overdraft charges, or other fees resulting from charges billed by Denkiya. Currency exchange settlements are between you and your payment provider. You may be charged fees by our payment processing platform; see related Stripe Payment Terms (or the terms of any successor processor we use).

3.2 Requests & metering

Access to the API must be through authenticated HTTP requests using the credentials and methods we document (for example x-api-key or Authorization: Bearer). All requests may be tracked and recorded by Denkiya and/or our service providers to count toward applicable limits, calculate charges, enforce these API Terms, maintain security, and improve the Service.

Without limiting the foregoing, we may log technical request metadata associated with your API credentials, including Internet Protocol (IP) addresses, User-Agent strings, and HTTP Origin or Referer headers when provided by the client, together with timestamps, endpoints called, response outcomes, and usage counts. We use this information to operate metering and billing, detect and investigate abuse or unauthorized use, enforce these API Terms, protect the security and integrity of the Service, and improve reliability. This logging concerns the systems and Client Applications that call the API under your credentials; it is not intended to identify your End Users personally unless you include End User personal data in request content you send us.

Successful metered calls typically count toward monthly allowances. Failed authentication or failed calculations generally do not. Exact metering rules, response headers, and endpoint behavior are described in our API docs and may evolve.

3.3 Overage & limits

If you exceed a monthly calculation allowance or other published limit, we may reject further metered requests until the allowance resets, require an upgrade, and/or bill overage or other excess-use charges as described for your plan on denkiya.co/api (or in a written order). Current published paid plans include usage-based overage after the included monthly allotment; Community has no paid overage rate. Fair-use and per-minute (burst) rate limits may apply even when monthly quota remains. Exact status codes and response headers are described in our API docs and may evolve.

4. Terms of Sale

4.1 Processing & payment

Denkiya will process purchases as promptly as practicable. There may be a delay while payment details are verified. We accept payment methods as specified by our payment processor. We reserve the right to reject any order or purchase at any time.

Unless expressly stated otherwise or required by applicable law, charges are non-refundable. You may view or change payment methods through the billing portal or account dashboard we provide (including via our payment processor). If a portal is unavailable for your account, contact us at the addresses in Section 12.5.

To enable payment, we may collect and store information such as name, address, telephone number, email address, and payment details. That information may be shared with third parties who help complete the transaction (including payment processors). Billing and payment information is handled in accordance with our Privacy Policy.

4.2 Pricing

When you purchase a subscription or paid access, the price and billing frequency will be made clear during the order process (or in a written Custom agreement). You agree to pay the stated price and applicable taxes. All prices are in United States Dollars unless otherwise stated and are subject to change.

Discount eligibility, if any, is determined at the time of the order. Discounts cannot be applied retroactively. Applicable taxes may vary; we may not be able to notify you in advance of tax changes.

Denkiya reserves the right to change prices at any time. If the regular rate of your plan changes from what was stated at the time of your order, we will notify you in advance and you may accept the new price or cancel going forward.

If a stated price is determined by us, in our sole discretion, to be in error, we are not obligated to honor that price. We will notify you of the error and give you the opportunity to cancel and obtain a refund if payment has already been made.

If you believe someone else has used your account or you are being charged for a product you do not have, contact us immediately at support@denkiya.co.

4.3 Billing

If your plan requires recurring payments, Denkiya (or our processor) will charge the corresponding fees to your payment method on file. Base subscription fees are typically charged at the beginning of each billing cycle (monthly, unless otherwise noted). Any overage or usage-based charges, if applicable to your plan, may be charged in arrears together with the next period’s subscription fee, as disclosed at purchase or in your order form.

If your payment method expires or fails, we may notify you and may suspend your account until you provide a valid method; you remain responsible for charges incurred. You will not necessarily be notified in advance of impending renewals. See Section 5 for cancellation.

Charges may appear on your statement as “Denkiya,” “Denkiya Inc.,” or a similar designation. You represent that you have authority to use the payment method you submit.

4.4 Unpaid charges

If payment fails or amounts remain unpaid, we may suspend or terminate your subscription or API access. You remain responsible for all charges. Late payments may accrue interest at one and one-half percent (1.5%) per month or the highest rate allowed by law, whichever is lower. You will be responsible for reasonable costs of collection, including attorneys’ fees where permitted.

4.5 Promotions

We may offer promotions under terms stated at the time of the offer. Promotions may differ and generally cannot be combined. You may be required to provide payment details when you sign up. At the end of a promotion, you may be enrolled in a related paid plan as disclosed; cancel before the promotional period ends to avoid charges if the offer so requires.

5. Cancellation Policy

5.1 Cancellation

You may cancel your subscription(s) at any time through the billing portal or account dashboard we provide, or by contacting us. We do not issue pro-rated refunds for unused time if you cancel during a billing cycle, unless required by law or we expressly agree otherwise.

The limited license terminates automatically, without notice, if you materially breach these API Terms.

Upon termination, you must stop calling the API, destroy or securely delete API keys and secrets issued to you, and cease new use of the Service. You may retain Results previously delivered to End Users through your Client Application solely as needed to support those End Users’ historical records in the ordinary course, provided you do not continue to use the API or rebuild a competing dataset from retained Results.

5.2 Refunds

We may issue refunds or credits at our sole discretion. Issuing a refund or credit once does not obligate us to do so again.

Unless caused by Denkiya’s gross negligence or willful misconduct, you are responsible for fees incurred through unauthorized use of your credentials. Our records presumptively determine usage and fees due.

5.3 Changes to the Service or access

Denkiya may change the API at any time. If we temporarily reduce or eliminate a charge for access that you are paying for under different terms, you are not entitled to a retroactive refund.

6. Restrictions on Use of the Service and Results

6.1 General restrictions

The limited license is subject to the following restrictions and limitations. You shall not:

(a) use the API or Results in violation of your plan (including using Community for commercial purposes);

(b) present Results so that they appear to be produced by or endorsed by a third party (other than truthful attribution to Denkiya where required or permitted);

(c) falsify or alter any unique identifier, API key, or other credential assigned to you, or obscure the source of requests;

(d) reproduce, modify, distribute, decompile, disassemble, or reverse engineer any portion of the Service (except to the limited extent such restriction is prohibited by law);

(e) violate or attempt to violate Denkiya’s security protocols;

(f) transmit malware or other harmful code;

(g) share credentials with unauthorized parties, fail to reasonably safeguard credentials, or fail to respond promptly to known credential compromise;

(h) use the API to access, attempt to access, or reverse-engineer any Denkiya end-user account, household profile, saved appliances, vehicles, or other personal data belonging to Denkiya consumers — the public API is for modeled Results based on inputs you supply, not for looking up Denkiya user data;

(i) resell, rebroadcast, or redistribute the API as a stand-alone API, bulk data product, or competing energy-modeling service, except as Results embedded in your Client Application under these API Terms; or

(j) remove or obscure Denkiya trademarks or proprietary notices except as permitted for required or optional attribution.

Denkiya may revoke access, expire API keys, impose rate limits, throttle requests, or otherwise limit the Service at any time to prevent abuse, respond to security threats, protect stability, or preserve availability for all users.

6.2 Your inputs & third-party data

You may only use the API in compliance with all applicable laws. You are responsible for the legality of data you submit (addresses, usage assumptions, and other inputs) and for ensuring your use complies with licenses applicable to any third-party data you combine with Results. You take full responsibility for your use of the Service, including the API.

Results may incorporate or be informed by public data sources (including U.S. Energy Information Administration energy price information and other sources described in our methodology). You must not misrepresent Results as official government publications or as unmodified EIA content, and you must not use the EIA logo or other protected marks without authorization from the relevant owner. Where you redistribute or display information derived from such sources, you should provide appropriate acknowledgment consistent with the source’s reuse guidelines and our documentation.

6.3 Caching

During your subscription term, you may cache Results as reasonably necessary to operate your Client Application (for example short-lived caches for performance), provided that caching does not circumvent metering, rate limits, or plan restrictions, and does not create an offline substitute for the API offered to third parties. Following termination, you must stop new API use as described in Section 5.1.

6.4 End User terms

Except as expressly authorized, you may not allow unauthorized third parties to access the API for any purpose. You may not remove, obscure, or alter notices of Denkiya’s intellectual property appearing in the Service or documentation.

Where you provide Results to End Users, you shall ensure End Users understand that Results are informational estimates, not professional advice, and are provided “as is.” You shall not make warranties to End Users about the Service on Denkiya’s behalf. Upon our request, you shall reasonably cooperate in addressing End User misuse of Results. Denkiya is an intended third-party beneficiary of End User terms that protect Denkiya to the extent you include such terms.

6.5 Attribution (Community)

If you are on a Community plan (or any plan that requires attribution), you must display a clear, visible “Powered by Denkiya” attribution in proximity to Results in your Client Application, with the Denkiya name or logo linking to https://denkiya.co/ (or another URL we designate). Example implementations appear in our API docs. On Standard and Pro plans, attribution is welcome but not required unless otherwise agreed in writing.

6.6 Unlawful & unacceptable use

You may not use the Services for any unlawful purpose. Your use must comply with applicable rules regarding online conduct and content.

You may not use the Services in any manner that could damage or overburden the Services or interfere with any other party’s use.

Unacceptable use includes, without limitation: disseminating abusive, defamatory, or malicious material; infringing intellectual property rights; creating a false identity to mislead others; violating export/import laws; unauthorized network access; transmitting malware; or engaging in activity Denkiya reasonably deems contrary to the spirit of these API Terms.

6.7 Confidentiality

You acknowledge that non-public API documentation details, security protocols, unpublished pricing, and other non-public information we provide (“Confidential Information”) are confidential and proprietary to Denkiya. You shall not disclose Confidential Information to third parties except to employees or contractors who need it to use the Service and are bound by confidentiality obligations no less protective than these. You shall protect Confidential Information with at least reasonable care. These obligations survive termination for three (3) years (and longer for trade secrets for so long as they remain trade secrets).

6.8 Feedback

You grant Denkiya a worldwide, perpetual, irrevocable, royalty-free license to use, distribute, disclose, and incorporate into its services any suggestions, enhancement requests, recommendations, corrections, or other feedback you provide relating to the Service.

7. Representations & Warranties

You represent and warrant that: (a) your performance under these API Terms and use of the API (i) will comply with all applicable laws and (ii) will not violate third-party rights; (b) you are authorized to enter into these API Terms; (c) entry into these API Terms will not violate any outstanding obligation you have to a third party; (d) you will use the API strictly in accordance with the limitations herein and your plan; and (e) you will treat Results as informational estimates on an “as is” basis pursuant to these API Terms.

8. Termination

Denkiya may, in its sole discretion, terminate or suspend your access to all or part of the Service for any reason, including breach of these API Terms. You will pay costs and expenses reasonably incurred by Denkiya in enforcing your compliance, including attorneys’ fees where permitted. Upon termination, Sections that by their nature should survive (including restrictions, disclaimers, limitations of liability, indemnification, and miscellaneous) will survive. Denkiya may delete all or part of account or usage information related to you as described in our Privacy Policy.

9. Accounts, Keys & Security

9.1 Access credentials

To access the API, you must obtain credentials we issue (typically an API key). We may also require registration information such as name, email address, and organization details (“Registration Data”). You agree that Registration Data you provide will be true, accurate, current, and complete, and that you will keep it updated. We may contact you to confirm Registration Data before or during use. We may refuse or terminate access if we determine Registration Data is untrue, inaccurate, not current, or incomplete.

You may obtain access as we document from time to time (for example joining Community or completing paid checkout as described on denkiya.co/api). After signup or payment, API keys and plan details are typically available in your Denkiya app account (Settings). We may still issue, replace, or change keys and plans manually. Onboarding, checkout, and billing portals may change over time.

9.2 Security

You are responsible for maintaining the confidentiality of your API keys and account credentials and for all activities, charges, and liabilities that occur under your credentials, whether or not authorized by you. You must immediately notify Denkiya of any unauthorized use or other security breach of which you become aware by emailing support@denkiya.co. We will not be liable for loss or damage arising from your failure to comply with this section. Fraudulent, abusive, or illegal activity may be grounds for termination and referral to law enforcement.

Prefer calling the API from your servers. Browser (client-side) use may be limited by CORS and is generally not recommended for production with long-lived keys.

10. Information

10.1 Security & privacy

We use commercially reasonable physical, technical, and administrative controls to protect information. No method of transmission or storage is 100% secure.

Information you provide, including Registration Data and billing information, and API request metadata described in Section 3.2, is governed by our Privacy Policy. We may share information when we have a good-faith belief it is necessary to comply with law, respond to legal process, or help prevent loss of life or serious injury. We may retain request logs and related account records for as long as reasonably necessary for the purposes described in Section 3.2 and the Privacy Policy, or as required by law.

10.2 Feedback

Comments or materials you send us (including ideas, questions, and suggestions) are non-confidential to the extent described in Section 6.8. We have no obligation to compensate you for Feedback.

11. Disclaimer, Limitation of Liability, Indemnification

11.1 Disclaimers

Denkiya does not represent or endorse the accuracy or reliability of any Results or other information displayed, uploaded, or distributed through the Service. The API and Results are provided on an “as is” and “as available” basis without warranties of any kind.

THE DENKIYA API AND RESULTS ARE NOT A SUBSTITUTE FOR PROFESSIONAL ENERGY AUDITS, ENGINEERING ASSESSMENTS, UTILITY ADVICE, FINANCIAL ADVICE, OR ON-SITE EVALUATION BY QUALIFIED PROFESSIONALS. RESULTS MAY BE UNAVAILABLE OR INACCURATE. Denkiya does not guarantee the accuracy of Results or the applicability of information provided by the API. Methodology and limitations are further described at denkiya.co/methodology.

TO THE FULLEST EXTENT PERMISSIBLE UNDER LAW, DENKIYA AND ITS AFFILIATES AND LICENSORS DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE (EVEN IF DENKIYA IS ADVISED OF SUCH PURPOSE), AND IMPLIED WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, NEITHER DENKIYA NOR ANY OF ITS AFFILIATES OR LICENSORS, NOR ANY OF THEIR OFFICERS, DIRECTORS, EMPLOYEES, OR REPRESENTATIVES (COLLECTIVELY, the “Providers”) REPRESENT OR WARRANT (I) THAT THE API WILL MEET YOUR REQUIREMENTS OR BE ACCURATE, COMPLETE, RELIABLE, OR ERROR-FREE; (II) THAT THE API WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, ACCESSIBLE, TIMELY, RESPONSIVE, OR SECURE; (III) THAT ANY DEFECTS WILL BE CORRECTED, OR THAT THE API WILL BE FREE FROM VIRUSES OR OTHER HARMFUL PROPERTIES; (IV) THE ACCURACY, RELIABILITY, TIMELINESS, OR COMPLETENESS OF ANY RESULTS OR MATERIALS AVAILABLE ON OR THROUGH THE API; OR (V) THAT THE API OR RESULTS ARE NON-INFRINGING. NO INFORMATION OR ADVICE PROVIDED BY DENKIYA OR ITS AGENTS SHALL CREATE ANY WARRANTY.

YOU ACKNOWLEDGE THAT USE OF THE SERVICE AND RESULTS IS AT YOUR SOLE RISK. YOU ARE SOLELY RESPONSIBLE FOR (A) ANY DAMAGE TO YOUR SYSTEMS OR LOSS OF DATA RESULTING FROM YOUR USE OF THE SERVICE, AND (B) DISCLOSURES OF INFORMATION YOU UNDERTAKE WHILE USING THE SERVICE OR RESULTS.

Some jurisdictions do not allow exclusion of certain warranties. Some limitations above may not apply to you.

11.2 Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DENKIYA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE RESULTS AND/OR SERVICE; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY; (iii) ANY CONTENT OBTAINED FROM THE SERVICE, OR ANY DELAYS, INACCURACIES, ERRORS, OR OMISSIONS IN THE RESULTS OR SERVICE; OR (iv) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS, CONTENT, OR ACCOUNT.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF DENKIYA EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (U.S. $100.00) OR THE AMOUNT YOU PAID DENKIYA, IF ANY, IN THE PAST THREE (3) MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow limitation or exclusion of liability for incidental or consequential damages. Some limitations above may not apply to you.

11.3 Indemnification

You agree to hold harmless, defend, and indemnify Denkiya and the Providers from all liabilities, claims, demands, and expenses (including reasonable attorneys’ fees) that arise from or relate to your use or misuse of the Service or Results, including any suit, demand, or claim arising out of: (i) intellectual property or other proprietary rights of any third party; (ii) your breach of these API Terms; (iii) your Client Application or End Users; or (iv) your use of the Service or Results. Denkiya may assume exclusive control of any defense of a matter subject to indemnification by you, and you agree to cooperate.

12. Miscellaneous

12.1 Third-party links

Denkiya may provide links to third-party websites or resources (including documentation examples or data-source sites). Denkiya is not responsible for those sites or resources and does not endorse their content, advertising, or services.

12.2 Copyright notice

Content included in the Service and documentation—including text, graphics, logos, data compilations, and software—is the property of Denkiya or its content suppliers and is protected by United States and international copyright laws. Rights not expressly granted are reserved.

12.3 Trademarks

“Denkiya,” the Denkiya logo, and related names and marks are trademarks of Denkiya Inc. or its affiliates. You may use Denkiya marks only as expressly permitted for attribution under these API Terms or with our prior written consent. You may not use Denkiya marks in a way that implies endorsement of your products beyond permitted attribution, or that disparages Denkiya. All other marks remain the property of their respective owners.

12.4 Notification of claimed infringement

If you believe materials available on or through the Service infringe your copyright, send a written infringement notice that includes the information typically required under the Digital Millennium Copyright Act (description of the work, location of the material, your contact information, good-faith statement, and perjury statement). You may be liable for damages if you materially misrepresent infringement.

12.5 Notices

Denkiya may provide notice of changes or other matters by posting on denkiya.co, through the Service, or by using contact information you provided. Notice is deemed complete when posted or transmitted. Legal notices to Denkiya (other than infringement notices under Section 12.4) must be in writing and sent by overnight courier or certified mail, return receipt requested, and also emailed to support@denkiya.co, or to such other address as we publish.

Until a physical address is published, email to support@denkiya.co with “Legal Notice” in the subject line is acceptable for non-infringement legal notices, with a concurrent attempt at any address we later designate.

12.6 Time limitation on claims

You agree that any claim or cause of action by you arising out of or related to these API Terms or your use of the API must be filed within one (1) year after it arose, or be forever barred, to the extent permitted by law. Nothing in this section limits the time for Denkiya to bring a claim against you.

12.7 Waiver, severability & assignment

Denkiya’s failure to enforce a provision is not a waiver of its right to do so later. If any provision is held unenforceable, it will be reformed only to the extent necessary, and the remainder will continue in effect. You may not assign your rights under these API Terms; any attempt is void. Denkiya may assign its rights to an affiliate or to a successor in interest of a business associated with the Service.

12.8 Governing law & venue

These API Terms and your use of the API are governed by the laws of the State of California, without regard to conflict-of-law principles. You consent to personal jurisdiction and venue in the state and federal courts located in California for any action arising out of or relating to these API Terms or the API, and you shall not commence suit except in those courts, except where prohibited by law.

12.9 Audit

Denkiya may, with reasonable notice, audit your use of the API no more than once each calendar year to assure compliance with these API Terms (for example plan eligibility, attribution, and commercial-use restrictions). We will take reasonable measures not to unreasonably disrupt your operations. Each party bears its own audit costs, unless an audit reveals material non-compliance by you, in which case you shall reimburse Denkiya’s reasonable audit costs.

12.10 Relation to other agreements

Denkiya’s consumer products and other websites may be subject to different terms. Those terms do not modify these API Terms except as expressly stated.

If you enter into a separate written agreement signed by Denkiya for API access (for example a Custom order form or enterprise agreement), that agreement supersedes these API Terms to the extent of any conflict, from and after its effective date.

12.11 Force majeure

Denkiya shall not be liable for failure or delay in performing obligations where caused by events beyond its reasonable control, including acts of God, fire, flood, earthquake, pandemic, war, terrorism, labor disputes, power or internet failures, cyberattacks, government actions, or failures of third-party providers. Obligations are suspended to the extent affected, and time for performance is extended for the duration of the event.

12.12 Publicity

By using the Service on a paid plan, you grant Denkiya a limited, non-exclusive, revocable license to use your name and logo in promotional materials solely to identify you as a customer, unless you opt out by written notice to support@denkiya.co. Community users are not granted publicity rights to Denkiya by default beyond required attribution.

12.13 California consumer disclosure

Under California Civil Code Section 1789.3, California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210. 12.14 Validity of the terms

If any provision of these API Terms is held unlawful, void, or unenforceable, that provision is severable and does not affect the remaining provisions. Headings are for convenience only and have no legal effect.
